1. Company Overview

The Techno Spire is a software development company specializing in web and SaaS application development. We provide customized digital solutions that may be hosted on either our infrastructure or the client's own servers. Our role is limited to the development and technical implementation of the applications, not the ongoing data management on client-owned systems.

2. Acceptance of Terms

By accessing or using any product or service developed by The Techno Spire, you agree to these Terms. These Terms apply to all users, clients, and visitors who engage with our products or services.

3. Client Responsibilities

• Clients are responsible for providing accurate requirements and timely communication.
• When software is deployed on a client-managed server, the client is solely responsible for data management, security configurations, and user access control.
• The Techno Spire will not be held liable for data loss, unauthorized access, or security breaches occurring on client-managed systems or third-party hosting platforms.
• Clients are responsible for ensuring they have valid software licenses, hosting, and domain ownership required for project deployment.

4. Intellectual Property

• All source code, design, and intellectual property developed by The Techno Spire remain our property until full payment is received.
• After project delivery and settlement, ownership and usage rights are transferred to the client, except where open-source or third-party components are used.
• The Techno Spire reserves the right to reuse non-confidential components, frameworks, or libraries for other projects.

5. Data and Hosting Responsibility

For all applications hosted on client infrastructure:

• The client retains full ownership and control over all stored data.
• The Techno Spire is not responsible for server uptime, hosting-related downtime, or security breaches once the system is deployed to client-managed infrastructure.
• We may provide deployment support, but ongoing maintenance or monitoring requires a separate maintenance contract.

6. Confidentiality

Both parties agree to maintain strict confidentiality of proprietary and project-related information. Any data, credentials, or business logic shared during the course of the project will be kept confidential unless disclosure is required by law.

7. Payments and Refunds

• All project costs and payment terms are agreed upon in advance and documented in the proposal or invoice.
• Payments must be made as per the agreed milestones before project continuation or delivery.
• Once project files or access credentials are delivered, payments are non-refundable.

8. Limitation of Liability

The Techno Spire shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our products or services. This includes, but is not limited to, loss of data, profits, or business interruptions caused by third-party hosting issues, misconfigurations, or cyber incidents on client-managed servers.

9. Third-Party Integrations

Our applications may use third-party services such as payment gateways, SMS/email APIs, or analytics tools. The Techno Spire does not control or take responsibility for data handled by these third parties. Clients are encouraged to review the respective privacy and service policies of such providers.

10. Maintenance and Support

Unless a maintenance contract is signed, post-deployment bug fixes, updates, or feature enhancements are not covered. Maintenance packages can be discussed and customized as per client needs.

11. Termination of Services

The Techno Spire reserves the right to terminate or suspend any ongoing project or service in cases of:

• Non-payment or delayed payments beyond agreed timelines.
• Breach of contract or misuse of software deliverables.
• Illegal or unethical use of developed applications.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved under the jurisdiction of Ahmedabad, Gujarat.
